These Terms of Service ("Terms") are an agreement between Flywheelr Inc., which makes Brand Stori ("Brand Stori", "we", "us"), and the organization or person who uses our services ("you"). If you use Brand Stori on behalf of a company, you confirm that you can bind that company to these Terms, and "you" means that company.

By creating an account or using the services, you agree to these Terms and to our Privacy Policy.

1What Brand Stori is

Brand Stori is an AI marketing platform for IT services companies ("the Services"), available at go.brandstori.ai and related addresses. You upload your company's own material, such as corporate decks, case studies and service documents. Brand Stori organizes it into a knowledge base for your workspace (a "brain"), and uses it to help your marketing and sales teams produce content: pitch decks, capability documents, proposals, account research and similar pieces ("Outputs"). The Services include a chat that answers from your brain, a design workspace that creates Outputs, and connections that let other tools you authorize read your brain.

Beta features. Some features are marked as beta or early access. They may change or be removed, may have limited support, and are provided "as is".

2Accounts and workspaces

2.1 Your account. Give accurate information when you sign up and keep it current. You are responsible for activity under your account and for keeping your sign-in methods secure. Tell us at hello@brandstori.ai if you believe your account has been used without permission.

2.2 Workspaces and roles. A workspace belongs to the organization that creates it. Workspace administrators control membership, brains, sharing and billing. Members can use the workspace within the permissions the administrators set. You are responsible for who you invite and what access you give them.

2.3 Eligibility. The Services are for business use by people aged 18 or over.

3Your content and Outputs

3.1 You own your content. "Customer Content" means what you and your users upload or enter into the Services, including documents, brain content, instructions and messages. You keep all rights to it.

3.2 You own your Outputs. As between you and Brand Stori, you own the Outputs the Services produce for you, to the extent the law allows. Similar or identical text or designs may be produced for other customers, because AI models can generate similar results from similar requests. Your ownership does not extend to those.

3.3 The permission you give us. You allow Brand Stori and the service providers listed in our Privacy Policy to host, copy, process and display Customer Content and Outputs only to provide, secure and support the Services for you, and as required by law.

3.4 No training on your content. We do not use Customer Content or Outputs to train AI models, and our AI model providers process them under zero-data-retention terms that do not allow them to keep or train on them.

3.5 Aggregated usage information. We may collect de-identified information about how the Services are used (for example, feature usage and performance) to operate and improve them. This never includes the content of your documents or Outputs, and never identifies you.

3.6 Your responsibilities for content. You confirm that you have the rights needed to upload your Customer Content and to let us process it as described. Do not upload special categories of personal data (such as health, biometric or government ID data) or payment card data. The Services are not designed to protect those.

4AI Outputs: review before you rely on them

Outputs are generated by AI and may be incomplete, out of date, or wrong, including about your own company, your clients or third parties. Brand Stori is designed to draw from your own material, but it cannot guarantee accuracy. You are responsible for reviewing Outputs before you publish, send or rely on them, including any figures, claims, client names and case-study details. Outputs are not legal, financial or professional advice.

5Acceptable use

You will not, and will not let others:

  • –use the Services to break the law, or to create content that is deceptive, defamatory, infringing, or harassing;
  • –present Outputs as statements from a real person or organization who did not make them, or invent endorsements, results or client relationships;
  • –upload content you have no right to use, including another company's confidential material;
  • –attempt to access other customers' workspaces or data, or bypass security, usage limits or authentication;
  • –use automated means to access the Services beyond the interfaces and connections we provide;
  • –reverse-engineer the Services, or use them to build a competing product;
  • –resell or sublicense the Services without our written consent.

We may suspend access that puts the Services, other customers or third parties at risk, as described in section 8.

6Plans, usage and payment

6.1 Plans. Plans, prices, included usage and limits are shown on our pricing page or in your order form. Some plans include AI usage allowances. When an allowance is used up, usage may pause until the next period or until you upgrade, as the plan describes.

6.2 Trials. A trial gives you access for the period shown when you start it. When it ends, access may be limited until you choose a paid plan.

6.3 Billing. Paid plans are billed in advance, monthly or annually, through our payment provider. You authorize recurring charges until you cancel. Fees are exclusive of taxes, which you are responsible for (except taxes on our income).

6.4 Changes to fees. We will give at least 30 days' notice of a fee increase. It takes effect at your next renewal. If you do not agree, cancel before it takes effect.

6.5 Refunds. Fees are non-refundable except where required by law or stated in your order form.

7Our property

Brand Stori, including its software, models, prompts, recipes, templates, designs and documentation, belongs to us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. If you send us feedback, we may use it without obligation to you.

8Term, cancellation and suspension

8.1 Term. These Terms apply from when you first accept them until your account is closed. Subscriptions renew automatically for the same period unless cancelled before renewal.

8.2 Cancellation by you. You can cancel at any time in your workspace settings or by emailing hello@brandstori.ai. Cancellation takes effect at the end of the current billing period.

8.3 Suspension or termination by us. We may suspend or terminate access if you materially breach these Terms and do not fix it within 30 days of notice, or immediately if needed to comply with law, prevent harm, or protect the security of the Services or other customers.

8.4 Your data after termination. For 30 days after termination you can export your Customer Content and Outputs. After that we delete them from active systems, and from backups on their normal cycle, unless the law requires us to keep them.

9Confidentiality and security

We treat Customer Content as your confidential information. We use reasonable technical and organizational measures to protect it, as described in our Privacy Policy. If we become aware of a breach affecting your Customer Content, we will notify you without undue delay.

Data Processing Agreement. If you need one under the GDPR or similar laws, email hello@brandstori.ai and we will provide our DPA.

10Warranties and disclaimers

We will provide the Services with reasonable skill and care. Otherwise, to the extent the law allows, the Services and Outputs are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted or error-free operation, or any particular business result.

11Limitation of liability

Except for liability that cannot be limited by law, or that arises from a party's fraud, gross negligence or willful misconduct:

  • –neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity; and
  • –each party's total liability under these Terms is limited to the fees you paid or owed to Brand Stori in the 12 months before the event giving rise to the claim.

12Indemnities

By you. You will defend and indemnify Brand Stori against third-party claims arising from your Customer Content, your use of Outputs, or your breach of section 5.

By us. We will defend and indemnify you against third-party claims that the Services themselves, excluding Customer Content, Outputs and third-party services, infringe that party's intellectual property rights.

Either party seeking indemnity must notify the other promptly and cooperate in the defense.

13Disputes

13.1 Governing law. These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules.

13.2 Arbitration. Except where prohibited by law, any dispute arising from these Terms or the Services will be resolved by binding arbitration under the rules of the American Arbitration Association, in Texas, unless both parties agree otherwise. Either party may still seek urgent injunctive relief in court to protect its intellectual property or confidential information.

13.3 Opt-out. You may opt out of arbitration by emailing hello@brandstori.ai within 30 days of first accepting these Terms.

13.4 No class actions. To the extent the law allows, disputes are resolved individually and not as part of a class or representative action.

14General

Changes to these Terms. We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Services. Continuing to use the Services after that means you accept the update.

Assignment. Neither party may assign these Terms without the other's consent, except as part of a merger, acquisition or sale of substantially all of its assets.

Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.

Entire agreement. These Terms, the Privacy Policy, and any order form or DPA are the entire agreement about the Services. If an order form conflicts with these Terms, the order form wins.

Notices. We may send notices to the email address on your account or post them in the Services.
